OVERVIEW

Welcome to ApexTools. ApexTools is an online retail business based in Morocco and operated by Abdelaziz Hamioui. In these Terms of Service, “ApexTools,” “we,” “us,” and “our” refer to the ApexTools business and its operations.

These Terms of Service govern your access to and use of our website, online store, content, features, products, and related services (collectively, the “Services”). Our store is hosted by Shopify, which provides the ecommerce platform that enables us to offer the Services to you.

By visiting, interacting with, or using the Services, or by placing an order, you agree to these Terms of Service and our Privacy Policy. If you do not agree, you must not use the Services.

These Terms apply together with any additional policies displayed on our website, including our Refund Policy and Shipping Policy. Where mandatory consumer-protection law gives you rights that cannot legally be excluded or limited, those rights remain fully applicable.

SECTION 1 — ACCESS AND ACCOUNT

To use the Services or place an order, you must be legally capable of entering into a binding contract in your place of residence. If you allow a minor to use the Services under your supervision, you are responsible for that use to the extent permitted by law.

You agree to provide current, complete, and accurate information when placing an order or creating an account. You are responsible for maintaining the confidentiality of your account credentials and for activity carried out through your account. Notify us promptly if you believe that your account or payment information has been used without authorization.

You may not use the Services for unlawful, fraudulent, abusive, or unauthorized purposes, or in a way that interferes with the operation or security of the Services.

SECTION 2 — OUR PRODUCTS AND SERVICES

We make reasonable efforts to describe and display our products accurately. Product colors and appearance may vary slightly because of screen settings, lighting, manufacturing tolerances, or later product revisions. Images are provided for illustration and presentation and should be read together with the written product description and specifications.

We may update, improve, discontinue, or limit products or features at any time. We may also limit sales by person, household, region, jurisdiction, or order where reasonably necessary, including to prevent fraud, resale abuse, operational errors, or legal restrictions.

Product performance depends on proper use and care. Customers must follow any instructions supplied with the product. Unless expressly stated in writing, the Services do not provide medical, nutritional, professional, or diagnostic advice.

SECTION 3 — ORDERS

Submitting an order is an offer to purchase. An order is accepted only when we send an order confirmation or otherwise confirm that the order has been accepted. We may refuse, limit, or cancel an order for legitimate reasons, including suspected fraud, incorrect pricing, product unavailability, payment failure, shipping restrictions, or errors in customer information.

If we cancel an order after payment has been captured, we will issue the appropriate refund to the original payment method. Processing time after a refund is issued may depend on the payment provider or financial institution.

You are responsible for reviewing your order details before submission, including the product, quantity, shipping address, email address, and payment information. Contact us as soon as possible if you notice an error. We cannot guarantee that an order can be changed or cancelled after fulfillment has begun.

Returns, exchanges, cancellations, and refunds are governed by our Refund Policy. Nothing in that policy or these Terms limits rights that cannot legally be excluded.

SECTION 4 — PRICES, DISCOUNTS, AND BILLING

Prices are displayed in the currency shown on the storefront or at checkout. Prices, promotions, discounts, bundles, and product availability may change without prior notice, but changes will not affect an order already accepted except where required to correct an obvious error and permitted by law.

Applicable taxes, shipping charges, duties, or other fees will be shown at checkout when they are collected by us. International shipments may be subject to import taxes, customs duties, handling charges, or other government fees that are not controlled by ApexTools. Where these charges are not collected at checkout, the customer may be responsible for them under the laws of the destination country.

You agree to provide accurate billing and payment information and confirm that you are authorized to use the selected payment method. Payment processing is handled by Shopify and/or third-party payment providers, and their separate terms may also apply.

Discounts and promotional offers are subject to their stated conditions. Unless expressly allowed, offers may not be combined, transferred, exchanged for cash, or applied retroactively.

SECTION 5 — SHIPPING AND DELIVERY

Shipping estimates, processing times, service areas, tracking information, and related conditions are described in our Shipping Policy. Delivery dates are estimates unless we expressly state otherwise.

We may use third-party suppliers, carriers, logistics providers, and fulfillment partners. Products may ship from a location outside your country or in separate packages. Carrier delays, customs processing, weather, incorrect addresses, access restrictions, and other events outside our reasonable control may affect delivery.

You must provide a complete and deliverable address. If an order is returned, delayed, lost, or delivered incorrectly because the address supplied was incomplete or inaccurate, we will assess the situation under our Shipping Policy and applicable law.

Risk of loss and legal title pass as provided by applicable law. Nothing in this section changes mandatory consumer rights relating to delivery, non-delivery, damaged goods, or conformity.

SECTION 6 — INTELLECTUAL PROPERTY

The Services and their content—including the ApexTools name and branding, text, graphics, photographs, videos, icons, designs, page layouts, code, and other materials—are owned by or licensed to ApexTools and are protected by applicable intellectual-property laws.

We grant you a limited, personal, non-exclusive, non-transferable, and revocable right to access and use the Services for lawful personal shopping purposes. You may not copy, reproduce, distribute, sell, license, scrape, modify, publish, create derivative works from, or commercially exploit any part of the Services without prior written permission, except where applicable law permits otherwise.

Third-party names, marks, images, and content remain the property of their respective owners. No use of the Services grants you ownership of any intellectual property.

SECTION 7 — OPTIONAL TOOLS AND THIRD-PARTY SERVICES

We may provide access to tools, integrations, payment services, tracking services, or other functionality supplied by third parties. These services may be offered under separate terms and privacy policies.

We do not control every aspect of third-party services and do not guarantee that they will always be available, uninterrupted, secure, or error-free. Your use of optional third-party services is at your discretion and subject to any rights you have under applicable law.

New features, tools, or services added to the website will also be governed by these Terms unless separate terms are displayed.

SECTION 8 — THIRD-PARTY LINKS

The Services may contain links to websites or resources operated by third parties. A link does not mean that ApexTools endorses or controls the third party.

We are not responsible for third-party content, availability, security, privacy practices, products, or services. Review the third party’s terms and policies before providing information or completing a transaction. Any concern regarding a third-party product or service should be directed to the relevant provider, without limiting any claim you may legally have against ApexTools.

SECTION 9 — RELATIONSHIP WITH SHOPIFY

ApexTools uses Shopify to operate the online store and provide the Services. However, purchases made through the ApexTools store are transactions between you and ApexTools. Shopify is not the seller of the products offered by ApexTools and is not responsible for fulfilling ApexTools orders, handling ApexTools customer support, or making representations about ApexTools products.

Shopify and its affiliates may have rights and protections under these Terms where relevant to their role as the ecommerce platform provider. Nothing in these Terms creates an employment, agency, partnership, franchise, or joint-venture relationship between you and Shopify or between you and ApexTools.

SECTION 10 — PRIVACY

Our collection, use, disclosure, and protection of personal information are described in our Privacy Policy. Shopify and other service providers may process personal information to provide hosting, payment, fraud-prevention, analytics, fulfillment, customer-support, and related services.

By using the Services, you acknowledge that personal information may be processed in countries other than your country of residence, subject to applicable privacy law and the safeguards described in our Privacy Policy.

SECTION 11 — FEEDBACK AND SUBMISSIONS

If you voluntarily submit ideas, suggestions, reviews, photographs, comments, or other feedback to us, you confirm that you have the right to provide that material and that it does not violate another person’s rights.

You grant ApexTools a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, publish, translate, and display submitted material for operating, improving, and promoting the Services, subject to applicable privacy law and any specific permissions we request for customer photographs or testimonials.

We are not required to keep unsolicited commercial ideas confidential, pay compensation for them, or implement them. This section does not transfer ownership of your personal information and does not override our Privacy Policy.

SECTION 12 — ACCURACY, ERRORS, AND OMISSIONS

We aim to keep information accurate and current, but the Services may occasionally contain typographical errors, inaccuracies, omissions, technical problems, or outdated information relating to product descriptions, pricing, promotions, availability, shipping, or other matters.

We may correct errors, update information, or cancel affected orders when reasonably necessary and permitted by law. Where an error affects an accepted order, we will contact you when appropriate and provide any remedy required by applicable law.

Historical information is provided for reference and might not reflect current products, pricing, or policies.

SECTION 13 — PROHIBITED USES

You must not use the Services:

  • for any unlawful, fraudulent, deceptive, abusive, or malicious purpose;
  • to violate intellectual-property, privacy, publicity, consumer, or other legal rights;
  • to transmit malware, malicious code, automated attacks, or harmful content;
  • to scrape, crawl, harvest, or collect information through unauthorized automated means;
  • to impersonate another person or misrepresent your identity, authority, or affiliation;
  • to interfere with security features, payment systems, accounts, networks, or the proper operation of the Services;
  • to send spam, phishing messages, or unsolicited commercial communications through the Services;
  • to place orders using stolen, unauthorized, or fraudulent payment information;
  • to resell or commercially exploit the Services or their content without written permission; or
  • to encourage, assist, or conceal any prohibited activity.

We may suspend or restrict access where reasonably necessary to protect customers, ApexTools, Shopify, service providers, or the security and integrity of the Services.

SECTION 14 — TERMINATION

You may stop using the Services at any time. We may suspend or terminate access where you materially breach these Terms, engage in unlawful or fraudulent activity, threaten security, abuse support channels, or create material risk for ApexTools or others.

Termination does not affect rights and obligations that arose before termination, including payment obligations, accepted orders, refunds, intellectual-property rights, liability limitations, dispute provisions, or other provisions that by their nature should survive.

SECTION 15 — DISCLAIMER OF WARRANTIES

We do not promise that the website will always be uninterrupted, timely, secure, or error-free. The Services may occasionally be unavailable for maintenance, updates, network problems, third-party failures, or events outside our reasonable control.

To the maximum extent permitted by law, the Services are provided on an “as available” basis. However, this disclaimer does not exclude any express product promise made by ApexTools, any legal guarantee, or any warranty or consumer right that cannot lawfully be excluded.

Nothing in these Terms limits your rights where products are defective, unsafe, misdescribed, not delivered, or otherwise fail to conform to applicable law.

SECTION 16 — LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, ApexTools will not be liable for indirect, incidental, special, punitive, or consequential loss that was not reasonably foreseeable when the contract was formed, including loss arising from unauthorized misuse of the Services or third-party systems outside our reasonable control.

Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for fraud, fraudulent misrepresentation, intentional misconduct, death or personal injury caused by negligence where such liability cannot be excluded, or liability under mandatory consumer-protection, product-safety, or product-liability law.

Where liability can legally be limited, ApexTools’ total liability relating to a specific order will not exceed the amount paid for that order, except where a higher remedy is required by law.

SECTION 17 — INDEMNIFICATION

To the extent permitted by law, you agree to reimburse ApexTools for reasonable losses, liabilities, and costs resulting directly from your intentional unlawful misuse of the Services, your fraudulent activity, or your material violation of another person’s rights.

This section does not require a consumer to indemnify ApexTools for ApexTools’ own breach, negligence, unlawful conduct, or responsibilities that cannot be transferred under applicable law.

SECTION 18 — SEVERABILITY

If any provision of these Terms is found invalid, illegal, or unenforceable, that provision will be enforced to the greatest extent legally permitted or removed to the minimum extent necessary. The remaining provisions will continue in effect.

SECTION 19 — WAIVER AND ENTIRE AGREEMENT

A failure or delay in enforcing a provision of these Terms does not waive that provision or any other right.

These Terms, together with the policies and notices incorporated by reference, form the entire agreement between you and ApexTools concerning the Services and replace prior communications relating to the same subject. They do not exclude representations or rights that cannot legally be excluded.

Any ambiguity will not automatically be interpreted against one party solely because that party prepared the wording.

SECTION 20 — ASSIGNMENT

You may not transfer your contractual rights or obligations under these Terms without our prior written consent, except where applicable law allows otherwise.

We may transfer our rights or obligations as part of a legitimate reorganization, sale, transfer of the store, or change of service provider, provided that the transfer does not reduce mandatory consumer rights. We will provide notice where required by law.

SECTION 21 — GOVERNING LAW AND CONSUMER RIGHTS

These Terms and contracts formed through the Services are governed by the laws of Morocco, without giving effect to rules that would apply another law solely because of a conflict-of-law principle.

This choice of law does not deprive you of mandatory consumer protections that apply in your country of habitual residence where those protections cannot legally be excluded by agreement. Nothing in these Terms restricts any right you may have to bring a claim before a court or authority that has jurisdiction under applicable consumer law.

Before starting formal proceedings, we encourage you to contact us so that we can attempt to resolve the matter directly. This does not limit any legal deadline, statutory remedy, or right to seek urgent relief.

SECTION 22 — HEADINGS

Headings are included for convenience only and do not affect the interpretation of these Terms.

SECTION 23 — CHANGES TO THESE TERMS

We may update these Terms to reflect changes to our Services, business practices, suppliers, technology, or legal obligations. The current version will be posted on this page with an updated revision date.

Changes apply from the date they are posted unless a later date is stated. Changes will not retroactively reduce rights relating to an order accepted before the change. Where required by law, we will provide additional notice or obtain consent.

Your continued use of the Services after an update means that the updated Terms apply to future use, subject to any consent requirement under applicable law.
